Sit Down Entertainment, LLC, a Maryland limited liability company (“SDE,” “we” or “us“) believes strongly in protecting the integrity and privacy of personally identifiable information gathered from visitors and subscribers to our website (“Users” or “you“).  This global privacy policy (the “Privacy Policy”) describes how we collect, handle and use personally identifiable information received from Users (as defined below) in communications and transactions conducted on or through this website, including with whom we share such information.  We also describe how we protect the security of personally identifiable information and how you can contact us about our privacy practices.

When this Privacy Policy uses the term “personally identifiable information,” we mean information that identifies a particular individual, such as the individual’s name, mailing address, email address, telephone number and/or various business, professional or demographic information or affiliations.  When other information is directly associated with personally identifiable information, this other information is also treated as personally identifiable information for purposes of this Privacy Policy.  Personally identifiable information does not include user names, aliases or other data provided by our Users in the course of registering with or using our site, except when we request User email addresses as their identifier.  Personally identifiable information is sometimes referred to in this Privacy Policy as “Personal Information.”

Please review this Privacy Policy periodically as we may modify it from time to time.  Each time you visit our website or provide us with online information, you are accepting and agreeing to our Privacy Policy and practices as then in effect.

Information We May Collect Directly From You

You may choose to submit information including Personal Information directly to us through registrations with us for various purposes, including for receipt of information, the purchasing of publications, materials or products or other email communications.  We also will collect personal information when Users register online, log into or visit our website,  (the “SDE Site”) or when you otherwise communicate with us.

Also, the SDE Site may from time to time offer message boards, social community environments or other public forums in which Users may provide us with “Submissions” (as defined in our Terms of Use linked to our home page).  Any and all Personal information provided to us when you use any of these features may be publicly posted and otherwise disclosed without limitation as to its use by any third party.  Our rules regarding public forums and Submissions are described in our Terms of Use and you should review those policies closely before using those features of this site.

Any information, stories, documents and materials (other than Personal Information) that you provide to us through the SDE Site or through email or other direct means of communication (including but not limited to our phone system, voice mail, etc.) becomes the property of SDE and all right, title and interest therein and thereto is hereby assigned and transferred by you to us.  As the assignee and owner of such information, you hereby acknowledge and agree that we may use your material, stories, content, ideas, etc. for marketing and advertising purposes or for any purpose without attribution unless otherwise expressly agreed by us with specific reference to the information sent to us by you.  We may also prepare, use, reproduce, publish, distribute and exhibit such Submissions, material and information without payment, royalty, fee or attribution in our sole discretion unless and to the extent agreed by us in writing in advance of your Submission or communication to us.

We place email links on our Site to allow you to contact us directly and we may otherwise collect your email address through technical means.  The information that Users provide us or that we collect is also often used to respond directly to their questions or comments and to more efficiently operate our Site.  All of our emails contain a link for Users to unsubscribe or modify their profile.  Users may also subscribe or unsubscribe to any newsletter or email communication from us at any time.

Information We May Obtain About You From Other Sources

We may obtain information from various sources that identifies you directly or indirectly, or we may update and supplement Personal Information that we collect from you with other information that we obtain from third parties.  Sources from which we may obtain information include our Users and their affiliates, content protection organizations, data brokers, individuals, anonymous sources, third party service providers, public registers, law enforcement authorities and the Internet.  When we associate information that we obtain from third parties with personally identifiable information collected under this Privacy Policy, all such information is handled under this Privacy Policy.

Cookies, Web Beacons and Other Technologies

Together with our third party service providers, we also may use a variety of technologies that collect certain web site usage information when you access or view any SDE Site.

(i) Cookies.  A cookie is a data file placed on a computer or other device when it is used to visit any SDE Site which does not itself contain any Personal Information.  Cookies enhance a User’s experience by saving him or her from having to log-in or provide information each time he or she visits a webpage and by customizing our content based on such User’s interests.  Cookies may also be used to track User preferences and web pages visited while using any of our Sites.  You may disable cookies using your browser’s preferences, but some features of the Sites may not function properly or may operate slowly if you disable the cookies.  A User can also configure his or her browser to be alerted when a site is attempting to send a cookie and refuse the cookie.


(ii) Web Beacons.  Small graphic images or other web programming code called web beacons (also known as “1×1 GIFs” or “clear GIFs”) may be included in our web pages and e-mail messages.  Web beacons may be invisible to you, but any electronic image or other web programming code inserted into a web page or e-mail can act as a web beacon.  Web beacons or similar technologies may be used for a number of purposes, including, for example, to count visitors to the Sites, to monitor how users navigate the Sites, to count how many e-mails from the SDE Site were actually opened or to count how many particular articles or links were actually viewed.


(iii) Embedded Scripts.  An embedded script is programming code that is designed to collect information about your interactions with the Sites, such as which links you click on.  The code is temporarily downloaded onto your computer from our web server or a third party service provider, is active only while you are connected to the Sites, and is deactivated or deleted thereafter.

Information collected through these technologies may be non-identifying or may be associated with you.  We may use such non-identifying information for any purpose.  If such information is associated with you, it will be treated as Personal Information under this Privacy Policy.

How We May Use Personal Information

We may use Personal Information:

(a) to communicate with you, respond to your inquiries and process any of your requests for e-mails, newsletters or other information, including verifying that your e-mail address is active and valid;

(b) to facilitate your participation in any online features on any of the Sites;

(c) to perform internal activities (for example, to administer our organization, to conduct research or to generally enhance user experience on the Sites);

(d) to enforce the Terms of Use or the Privacy Policy, or to meet any legal obligations;

(e) to protect or defend the rights, privacy, property, safety or security of any individual or entity, including us or third parties;

(f)  to investigate, report, prevent or take action to protect against copyright infringement, fraud or other suspected unlawful activity; and

(g) for other reasons described in the Privacy Policy or disclosed to you at the time you provide the information.

For the avoidance of doubt, we may disclose Personal Information if required to do so by law, by the order of any court, by the direction of any administrator or other authority, to cooperate with law enforcement or in the good-faith belief that such action is necessary to prevent injury or property damage — whether to you, to us or to others.  We may attempt to notify you when we are making such a disclosure, but we may not do so in an emergency or when law or the order of a court or administrative authority prohibits us from doing so.  As a practical matter, prior notice of the disclosure of personal information in such cases cannot be assured and should not be expected.

How and When We May Share Information

We do not sell or share Personal Information we collect about you, except as described below or otherwise in this Privacy Policy.

(i) Third Parties Providing Services on our Behalf.  We may use third parties to perform certain services on our behalf. We may provide these service providers with access to information, including Personal Information, to carry out the services they are performing. We do not authorize these service providers to use or disclose the information except as necessary to perform certain services on our behalf or comply with legal requirements. We require these service providers by contract to appropriately safeguard the privacy and security of Personal Information they process on our behalf.

(ii) Administrative and Legal Reasons.  We may share information, including Personal Information, with our affiliates and offices, our members and their affiliates, content protection organizations, law enforcement agencies or government authorities and other third parties: (a) in the event we are required to respond to subpoenas or other legal process or if in our good faith opinion such disclosure is required by law, (b) at the request of government authorities, (c) to enforce the Terms of Use of the Sites or the Privacy Policy, (d) to protect or defend the rights, privacy, property, safety or security of any individual or entity, including the SIT DOWN ENTERTAINMENT, its affiliates and offices, our members and their affiliates or third parties, or (e) to investigate, report, prevent or take action to protect against copyright infringement, fraud or other suspected unlawful activity.

(iii) Change in Ownership or Structure of SDE.  We reserve the right to disclose and transfer all information, including Personal Information, in our possession at the time of and in connection with (a) the sale or transfer of SDE or its assets to a subsequent owner, co-owner or operator of us or our Sites; or (b) in connection with a merger, consolidation, restructuring or other change in the company, including, without limitation, during the course of any due diligence process.  Should such an event occur, we will use reasonable efforts to incent or encourage the transferee to use Personal Information you have provided to us in a manner that is consistent with our Privacy Policy.  Following such an event, you should contact the entity to which we transferred your Personal Information with any inquiries concerning the processing of that information.

Your Change Of our Use of Your Information by Opting Out or Unsubscribing

You have certain rights regarding the Personal Information we maintain about you.  We offer you certain choices about what Personal Information we collect from you, how we use that information and how we communicate with you, including the right for you to opt-out or unsubscribe from communications or newsletters from us.

Links to Third Party Websites

Our Sites may from time to time contain links to other web sites that we do not own or control (“Third Party Sites”) whose information and privacy practices may be different than ours.  We have no control over information that is submitted to, or collected on or through, such Third Party Sites, and we are not responsible or liable, directly or indirectly, for the information or privacy practices employed by any Third Party Sites.  We encourage you to note when you leave any of our Sites and to read the privacy policies and terms of use of all Third Party Sites before using such sites or submitting any Personal Information or any other information on or through such Third Party Sites.

Data Security

We maintain appropriate administrative, technical and physical safeguards designed to protect Personal Information you provide against accidental, unlawful or unauthorized destruction, loss, alteration, access, disclosure or use.

While we have taken steps to protect the Personal Information we collect from you on or through any of our Sites, you should note that no Internet, wireless or mobile phone transmission is ever completely secure.  In particular, unencrypted e-mail and web traffic are subject to potential interception by unauthorized third parties.

Also, you should never disclose your password to any third parties.  If you lose control of your password, you may lose substantial control over your Personal Information and may be subject to legally binding actions taken on your behalf.  You may also suffer identity theft.  Therefore, if your password has been compromised for any reason, you should immediately change your password.  Experts recommend that you regularly change your password, that it be at least 8 elements and include both letters and numbers and that you not leave your password on documents on or around your computer.



Changes to this Privacy Policy

We reserve the right to modify, alter or otherwise change this Privacy Policy at any time.  If we modify, alter or otherwise change the Privacy Policy we will update the effective date and such changes will be effective upon posting.  Please check back regularly and review the current Privacy Policy.

For Parents

The SDE Site is a general audience web site.  We do not knowingly collect any Personal Information from children younger than thirteen (13) years of age (“Child“) on or through this Site or any other SDE Site.  If we become aware that a Child has submitted Personal Information on or through an SDE Site, we will immediately delete that Child’s Personal Information.
